2. About QuantGates and the Services

QuantGates Ltd is a UK-based company focused on quantum computing software, education, and research support. Our Services include:

• Spinorio™ Quantum Platform – a cloud-native environment for designing quantum circuits, orchestrating hybrid classical–quantum workflows, submitting jobs to quantum providers, and analysing results.
• QuantumClass™ – training services and courseware in quantum computing, including asynchronous workshops, hands-on labs, and certification pathways.
• Website and related content – informational pages, marketing materials, documentation, examples, demos, and other resources.

3. Eligibility

You may use the Services only if you are at least 16 years old (or the minimum age of digital consent in your jurisdiction) and have the legal capacity to enter into a binding contract. If you are under 18, you must have permission from a parent or legal guardian. You are responsible for ensuring that your use of the Services complies with applicable laws, regulations, and institutional policies.

4. Accounts and Security

To use certain parts of the Services, including Spinorio and some QuantumClass features, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information.
• Keep your login credentials confidential and secure.
• Notify us promptly of any unauthorised use or security breach.

You are responsible for all activities that occur under your account. QuantGates is not liable for any loss or damage arising from your failure to safeguard your credentials.

5. Description of Spinorio™ and QuantumClass™

Spinorio provides tools and infrastructure for designing, simulating, and executing quantum and hybrid workflows. QuantumClass provides structured learning content, practice labs, and, where applicable, certification assessments. We may add, modify, or remove features at any time, including during early-access or beta phases.

6. Licence to Use the Services

Subject to your compliance with these Terms, QuantGates grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Services for your personal, educational, or internal research purposes. You may not:

• Copy, modify, distribute, or create derivative works of the Services or any part thereof.
• Reverse engineer, decompile, or attempt to extract source code from the Services, except as permitted by law.
• Use the Services to provide a competing product or service.

7. User Content and Code

You may upload or create code, circuits, data, and other content (“User Content”) while using Spinorio or QuantumClass. You retain ownership of your User Content. By submitting User Content, you grant QuantGates a worldwide, non-exclusive, royalty-free licence to host, process, store, and display such content solely for the purpose of providing and improving the Services.

You are responsible for ensuring that your User Content does not:

• Infringe intellectual property, privacy, or other rights of any third party.
• Contain malicious code, malware, or harmful instructions.
• Violate any applicable law or regulation.

8. Acceptable Use and Prohibited Behaviour

You agree not to:

• Use the Services for unlawful, harmful, or abusive purposes.
• Interfere with or disrupt the integrity or performance of the Services, underlying infrastructure, or third-party providers.
• Attempt to access accounts, systems, or data that do not belong to you, including other users’ jobs or code.
• Use automated scripts or scraping tools to overload or harvest data from the Services without written permission.

9. Third-Party Services and Quantum Providers

Spinorio may integrate with third-party services, including but not limited to IBM Quantum, AWS Braket, or other quantum and cloud providers. Your use of these providers may be subject to their own terms and conditions. QuantGates does not control and is not responsible for:

• Uptime, availability, or performance of third-party providers.
• Changes to their pricing, API behaviour, or access policies.

We may change or remove integrations with third-party services at any time.

10. Beta, Early Access, and Experimental Features

Certain parts of Spinorio or QuantumClass may be offered as beta, early access, or experimental features. These may:

• Be incomplete or subject to significant change.
• Have reduced reliability, accuracy, or availability.
• Be discontinued at any time without notice.

You acknowledge that Spinorio is under active development with an expected public release around mid-2026, and that early-access features are provided without any performance or continuity guarantees.

11. Payments, Subscriptions, and Trials

If you purchase a subscription or paid feature, you agree to pay all applicable fees in accordance with the pricing and billing terms presented at the time of purchase. We may offer free trials or early access under specific conditions. Unless otherwise stated:

• Fees are non-refundable except where required by law.
• Your subscription may automatically renew unless you cancel before the renewal date.

12. Intellectual Property

Spinorio™, QuantumClass™, the QuantGates name and logo, our course content, models, designs, software, and documentation are protected by intellectual property laws. Except as explicitly stated in these Terms, no rights are granted to you in or to such intellectual property. Unauthorised use may result in civil or criminal liability.

13. Confidentiality

If we provide you with non-public information or materials designated as confidential, you agree not to disclose such information to any third party and to use it solely for your permitted use of the Services. This obligation does not apply to information that is publicly available, independently developed, or lawfully obtained from a third party without confidentiality obligations.

14. Privacy and Data Protection

QuantGates is committed to handling personal data in accordance with applicable data protection laws, including the UK GDPR where applicable. Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms. By using the Services, you consent to our processing of personal data as described there.

15. Disclaimers

The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

In particular, we do not warrant that:

• Quantum algorithms, simulations, or results will be correct, reliable, or suitable for any specific decision, research outcome, or financial investment.
• The Services will be uninterrupted, error-free, secure, or compatible with all systems.

16. Limitation of Liability

To the maximum extent permitted by law, QuantGates and its directors, employees, and affiliates will not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages;
• Loss of profits, revenue, data, or goodwill;

arising out of or in connection with your use of the Services, even if we have been advised of the possibility of such damages. Our aggregate liability for any claim relating to the Services will not exceed the amount you paid to us for the Services in the 3 months preceding the event giving rise to the claim, or £100 if you have not paid any fees.

17. Indemnity

You agree to indemnify, defend, and hold harmless QuantGates and its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Services;
• Your User Content;
• Your breach of these Terms or any applicable law.

18. Suspension and Termination

We may suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, including if we reasonably believe you have violated these Terms or used the Services in a way that may cause harm or legal liability. Upon termination, your right to use the Services will cease immediately, but certain provisions of these Terms will continue to apply (including those relating to intellectual property, limitation of liability, and indemnity).

19. Changes to Services and Terms

We may modify or discontinue any part of the Services at any time, with or without notice. We may also update these Terms periodically. When we make material changes, we will update the “Last updated” date at the top of this page and may provide additional notice via email or within the Services. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.

20. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles. You and QuantGates agree to submit to the exclusive jurisdiction of the courts of England and Wales for any dispute arising out of or relating to these Terms or the Services.

21. Miscellaneous

These Terms constitute the entire agreement between you and QuantGates regarding the Services and supersede any prior agreements on the same subject. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be considered a waiver. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
