1. Acceptance of Terms

By accessing, browsing, registering for, or using any part of the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services. If you use the Services on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.

2. About QuantGates and the Services

QuantGates Ltd is a UK-based company developing quantum computing software platforms for research, development, and education. The Services include:

• Spinorio™ — a cloud-based quantum IDE and research workspace built on JupyterLab for quantum development, workflow inspection, experiment tracking, benchmark execution, and reproducible research.
• QuantumClass — an interactive quantum computing education platform with structured courses, hands-on coding, assignments, feedback, and related learning services.
• QuantGates websites, documentation, examples, product pages, waitlists, newsletters, demos, and related digital services.

3. Eligibility

You may use the Services only if you are at least 16 years old, or the minimum age of digital consent in your jurisdiction, and have the legal capacity to enter into a binding agreement. If you are under 18, you must have permission from a parent or legal guardian.

4. Accounts and Security

Some features require an account. You agree to provide accurate information, keep credentials confidential, and notify us promptly of unauthorised access or security issues. You are responsible for activity under your account.

5. Spinorio and QuantumClass

Spinorio is a cloud-based quantum IDE and research workspace for advanced quantum researchers, developers, and technical teams. It is designed to help users manage code, circuits, parameters, transpilation, simulations, hardware jobs, benchmark runs, experiment records, and results inside a quantum-aware workspace built on JupyterLab. QuantumClass provides structured quantum computing courses, hands-on coding, assignments, feedback, and related learning services. Features may be added, modified, limited, or removed, including during early-access, beta, or preview phases.

6. Licence to Use the Services

Subject to these Terms, QuantGates grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for lawful personal, educational, research, or internal business purposes. You may not copy, resell, reverse engineer, interfere with, or misuse the Services except as permitted by law.

7. Acceptable Use

You must not use the Services to violate laws, infringe rights, attack or disrupt systems, attempt unauthorised access, upload malicious code, abuse cloud resources, or submit content that is unlawful, harmful, or misleading. We may suspend or restrict access where we reasonably believe there is misuse, security risk, or breach of these Terms.

8. User Content, Code, and Experiment Data

You may upload, write, run, or store code, notebooks, datasets, quantum circuits, parameters, results, benchmark records, and other content through the Services. You retain ownership of your content. You grant QuantGates the rights necessary to host, process, secure, display, transmit, and operate that content for the purpose of providing and improving the Services.

9. Third-Party Platforms and Quantum Providers

The Services may integrate with third-party platforms, cloud providers, quantum SDKs, simulators, or hardware backends, including services operated by companies such as IBM, AWS, Google, Stripe, Firebase, or other infrastructure providers. Your use of third-party services may be subject to their own terms, policies, availability, pricing, quotas, and technical limitations.

10. Payments, Subscriptions, and Access

Paid services, subscriptions, course purchases, or access plans are billed according to the price, billing period, and terms shown at checkout or in the relevant product page. Payments may be processed by third-party payment providers. Unless stated otherwise, fees are non-refundable except where required by law or expressly agreed by QuantGates.

11. Intellectual Property

QuantGates and its licensors retain all rights in the Services, including software, designs, interfaces, documentation, branding, trademarks, course materials, and platform content. You may not use QuantGates names, logos, or marks without prior written permission.

12. Research, Education, and Technical Output

Quantum computing tools, simulations, benchmarks, educational materials, and platform outputs are provided for research, development, learning, and informational purposes. You are responsible for independently reviewing, validating, and interpreting any technical output, code, results, or recommendations before relying on them.

13. Availability and Changes

We aim to provide reliable Services but do not guarantee uninterrupted or error-free availability. Features may change over time, especially where products are in early-access, beta, preview, or active development. We may perform maintenance, impose resource limits, or modify access where needed for security, performance, compliance, or operational reasons.

14. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis to the fullest extent permitted by law. QuantGates does not warrant that the Services will be uninterrupted, error-free, secure, or suitable for every use case, or that technical outputs will be complete, accurate, or fit for a particular purpose.

15. Limitation of Liability

To the fullest extent permitted by law, QuantGates is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, loss of data, business interruption, or loss arising from your use of or inability to use the Services. Nothing in these Terms limits liability that cannot be limited under applicable law.

16. Termination

You may stop using the Services at any time. We may suspend, restrict, or terminate access if you breach these Terms, create risk to the Services or other users, fail to pay applicable fees, or where required by law. Provisions that by their nature should survive termination will continue to apply.

17. Changes to These Terms

We may update these Terms from time to time. When material changes are made, we will update the “Last updated” date and may provide additional notice. Continued use of the Services after changes become effective means you accept the updated Terms.

18. Governing Law

These Terms are governed by the laws of England and Wales. You and QuantGates agree to submit to the exclusive jurisdiction of the courts of England and Wales for disputes arising out of or relating to these Terms or the Services.
